Internode Pay Limited’s (“Misan”) Referral Program Terms & Conditions
1. Introduction
1.1 The Misan Referral Program (the “Promotion”) is organised and offered by Internode Pay Limited (“Misan”, “we”, “us”, or “our”).
1.2 The Promotion allows existing Misan users (“Referrers”) to invite new users (“Invitees”) to sign up for a Misan account and earn a referral reward (“Reward”) if the Invitee completes certain qualifying actions.
1.3 By participating in the Promotion, Referrers and Invitees agree to be bound by these Terms & Conditions (“Promotion Terms”).
2. Promotion Period
2.1 The Promotion will be available for a specific period determined by Misan (the “Promotion Period”).
2.2 Any Reward will only be paid if all conditions set out in these Promotion Terms are fulfilled during the Promotion Period.
2.3 Misan reserves the right, at its sole discretion, to extend, modify, suspend, or terminate the Promotion Period at any time.
3. Eligibility
3.1 The Promotion is open to registered Misan users and prospective users who have received a referral invitation.
3.2 Invitees must be new users who have not previously registered for a Misan account.
3.3 The Invitee must complete all qualifying steps within the timeframe specified in these Promotion Terms.
3.4 Misan reserves the right to determine eligibility for participation in the Promotion at its sole discretion.
4. Participation and Referral Process
4.1 When a user registers for a Misan account and successfully completes identity verification, they will be assigned a unique referral code.
4.2 Existing verified Misan users may share their referral code with individuals who have not previously registered for a Misan account.
4.3 The referred individual (the “Invitee”) must sign up for a Misan account using the Referrer’s unique referral code.
4.4 To qualify for a Reward, the Invitee must complete their first qualifying transaction on the Misan platform within 30 days of account registration.
4.5 A qualifying transaction means completing international transfer or currency exchange transactions on the Misan platform meeting at least one of the following minimum thresholds:
4.5.1 United Kingdom referrals
A transaction of £100 or more, after which both the Referrer and Invitee will receive £15.
4.5.2 European Union Referrals
A transaction of €100 or more, after which both the Referrer and Invitee will receive €15.
4.5.3 Canadian referrals
A transaction of CA$200 or more, after which both the Referrer and Invitee will receive CA$50.
4.5.4 Nigeria based referrals
A transaction of $100 or more, after which both the Referrer and Invitee will receive $10.
4.6 Misan may determine the applicable reward threshold based on the Invitee’s country of residence or any other factor as solely determined by it.
4.7 Rewards will be credited to the Referrer’s and Invitee’s Misan accounts once the qualifying transaction has been successfully verified.
4.8 All Rewards remain subject to verification, fraud checks, and compliance with these Promotion Terms.
4.9 Misan reserves the right to delay, withhold, reverse, or cancel any Reward where it reasonably suspects fraud, abuse of the Promotion, or a breach of these Promotion Terms.
4.10 Where a qualifying transaction is completed in a currency different from those listed above, Misan may determine eligibility by converting the transaction value into the applicable threshold currency using the exchange rate available on the Misan platform at the time of the transaction.
4.7 All Rewards are subject to verification and compliance with these Promotion Terms.
4.8 Rewards will be credited to the relevant Misan account after verification of the qualifying transaction.
4.9 Misan reserves the right to withhold or delay the issuance of Rewards in cases of suspected fraud, abuse, or violation of these Promotion Terms.
5. Referral and Invitee Requirements
5.1 The Invitee must complete a qualifying transaction within 30 days of signing up.
5.2 The Invitee must fund their Misan account using an external source (for example, a bank transfer or card top-up).
5.3 If the Invitee reverses, refunds, or cancels any transaction required to qualify for the Reward, the Reward may be forfeited or reversed.
5.4 The maximum number of referrals per Referrer may be limited and such limits may be communicated within the Misan platform or via email.
6. Program Rules and Restrictions
6.1 Users are not permitted to create multiple accounts for the purpose of obtaining Rewards.
6.2 Referrers must not engage in misleading, spam, or deceptive promotional practices when sharing referral codes.
6.3 Misan reserves the right to review all referral activity and determine whether the Promotion is being used in accordance with these Promotion Terms.
6.4 If Misan determines that a participant has engaged in fraud, manipulation, or material abuse of the Promotion (including attempting to obtain an unfair advantage through deception or artificial activity), Misan may:
6.4.1 reverse or cancel any Reward granted;
6.4.2 suspend or restrict the participant’s Misan account; and
6.4.3 take any other action reasonably necessary to prevent further abuse of the Promotion.
6.5 Misan may reverse any Reward if a user breaches these Promotion Terms or any terms governing the use of their Misan account.
7. Rewards, Reversals, and Account Status
7.1 Misan reserves the right to reverse, withdraw, or cancel any Reward during or after the Promotion Period if:
7.1.1 the transaction or activity that qualified the participant for the Reward is refunded, reversed, or cancelled;
7.1.2 the Reward was obtained fraudulently or through manipulation of the Promotion;
7.1.3 the participant breaches any applicable terms governing their Misan account; or
7.1.4 the participant fails to comply with these Promotion Terms.
7.2 Any reversal of a Reward under this clause shall be deemed authorised by the participant.
7.3 If a participant closes their Misan account, or if their account is suspended, restricted, or terminated before the Reward is credited, or between the time they qualify for the Reward and the time the Reward is issued, they may lose entitlement to the Reward.
8. Taxes
8.1 Any Reward received through participation in the Promotion may be subject to applicable taxes in the participant’s jurisdiction of residence.
8.2 Participants are solely responsible for determining and fulfilling any tax obligations arising from participation in the Promotion.
8.3 Misan shall bear no responsibility or liability for any tax obligations arising from Rewards received under the Promotion.
9. Personal Data and Marketing Communications
9.1 Personal data collected or processed in connection with the Promotion will be handled in accordance with Misan’s Privacy Policy.
9.2 By participating in the Promotion, participants acknowledge that their personal data may be processed for the purpose of administering the Promotion.
9.3 Participants may receive promotional or campaign communications relating to Misan products or promotions. Participants may manage their marketing preferences through their account settings or by using the unsubscribe options provided in such communications.
9.4 By participating in the Promotion, participants agree that Misan may use their name, image, or content submitted in connection with the Promotion for promotional purposes on social media or other marketing channels, subject to applicable law.
10. Amendments, Suspension, and Termination
10.1 Misan reserves the right to modify, suspend, or terminate the Promotion or these Promotion Terms at any time.
10.2 Misan may suspend or terminate the Promotion before the end of the Promotion Period if the Promotion:
10.2.1 is being abused;
10.2.2 may negatively affect Misan’s goodwill or reputation; or
10.2.3 becomes impractical due to unforeseen circumstances.
10.3 Where reasonably practicable, Misan will provide prior notice of material changes through the Misan platform, email, or other communication channels.
10.4 Any changes to the Promotion Terms will not affect participants who have already validly qualified for a Reward prior to the change.
10.5 Misan may end the Promotion for specific participants, groups of participants, or all participants if necessary.
11. Limitation of Liability
11.1 Events beyond the reasonable control of Misan may occur that make the awarding of a Reward impossible.
11.2 Misan shall not be liable for any loss suffered directly or indirectly where such loss arises from events outside its reasonable control and not due to its fault, negligence, or wilful misconduct.

12.2 Complaints will be reviewed in accordance with Misan’s internal procedures.
13. Language
13.1 These Promotion Terms are published in English.
13.2 Any translations are provided for convenience only and shall not be legally binding.
13.3 In the event of any inconsistency between translations and the English version, the English version shall prevail unless applicable law requires otherwise.
14. Governing Law
14.1 These Promotion Terms and the Promotion shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria.
14.2 Any dispute arising in connection with the Promotion shall be subject to the exclusive jurisdiction of the courts of Nigeria.
14.3 Nothing in these Promotion Terms limits any mandatory consumer rights that may apply under applicable law.
